Subject and scope

Squilling is a commercial software-as-a-service (SaaS) platform with its principal place of business in Italy.

Squilling provides an autonomous, artificial intelligence-powered phone agent designed to answer inbound calls, dispense information, route communications, and manage scheduling on behalf of business customers (the "Customer"). By creating an account, accessing, or utilizing the service, you enter into a legally binding agreement and accept these Terms of Service in full. If you are entering into these terms on behalf of a company or other legal entity, you represent that you have the authority to bind such entity.

Account security and integrity

To access the platform, you must register a corporate account and provide complete, current, and accurate registration data. You are solely responsible for maintaining the absolute confidentiality of your account credentials, passwords, and API keys. Any and all activity occurring under your account is your sole legal responsibility. You must immediately notify Squilling of any unauthorized use or suspected security breach.

Acceptable use and compliance warranty

You agree to use the service strictly in accordance with all applicable local, national, and international laws, regulations, and industry standards.

You explicitly warrant that you will not use, nor permit any third party to use, the platform to:

  • Generate or transmit unlawful, fraudulent, deceptive, abusive, or harassing communications.
  • Engage in activities that violate telecommunications regulations, including caller ID spoofing, unsolicited telemarketing, or illegal robocalling.
  • Bypass, disable, or interfere with any security-related features of the platform.
  • Route calls to, or interact with, emergency services (such as 112 or local equivalents).

Telephony, wiretapping, and AI disclosures

The Squilling platform processes, monitors, and records live voice audio streams to generate real-time transcriptions and autonomous conversational outputs.

  • Mandatory AI and recording notice. You bear sole legal responsibility for ensuring that all callers are legally and adequately informed that they are interacting with an artificial intelligence assistant and that the call is being recorded, monitored, and transcribed.
  • Legal compliance. You warrant that your configuration, prompt architecture, and deployment of the phone agent comply entirely with the EU AI Act, the U.S. Telephone Consumer Protection Act (TCPA), federal and state wiretapping laws (including all two-party and all-party consent jurisdictions), and applicable global data protection regimes.
  • Indemnification. You agree to defend, indemnify, and hold harmless Squilling, its owner, and affiliates from and against any and all claims, liabilities, statutory damages, regulatory fines, penalties, and legal fees arising out of your failure to provide adequate disclosures or obtain necessary consents from end-callers.

AI behavior and limitation of warranties

  • "As-Is" delivery. Squilling is provided on an "As-Is" and "As-Available" basis. To the maximum extent permitted by law, Squilling expressly disclaims all warranties, whether express, implied, statutory, or otherwise, including implied warranties of merchantability, fitness for a particular purpose, and non-infringement.
  • AI output disclaimer. You acknowledge that generative artificial intelligence can produce unpredictable variations in dialogue, errors, omissions, or text hallucinations. Squilling does not guarantee, warrant, or represent that the agent's spoken outputs, scheduling actions, or information retrieval will be entirely accurate, reliable, or error-free. The phone agent is a business support tool; it does not relieve the Customer of their independent obligation to verify appointments, pricing commitments, or critical customer operational data.

Third-party integrations and connectors

The platform allows you to connect third-party platforms, interfaces, and tools (including but not limited to Google Calendar, Microsoft Outlook, and custom CRM webhooks).

  • Authorization. By enabling these integrations, you grant the Squilling agent express authorization to read, write, modify, and manage events within those connected environments according to your configured prompts.
  • Independent terms. Your use of third-party integrations is governed strictly by the respective terms and conditions of those providers (e.g. Google Terms of Service, Microsoft Services Agreement). Squilling is not liable for data loss, calendar corruption, synchronization lags, or service interruptions caused by third-party application programming interfaces (APIs).

Pricing, billing, and financial terms

  • Pay-as-you-go architecture. The service is billed dynamically on a consumption basis at a standard rate of €0.25 per minute (or the prevailing rate communicated inside the customer dashboard). Minutes are rounded up to the nearest whole second or minute according to standard billing configurations.
  • Payment processing. All transactions, automatic top-ups, and balance thresholds are handled securely via Stripe. You authorize Squilling to automatically charge your designated payment method when your prepaid threshold is breached.
  • Non-refundability. All consumed platform minutes and prepaid balances used to maintain active telecom routing infrastructure are non-refundable.

Limitation of liability

To the maximum extent permitted by applicable law, in no event shall Squilling be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages. This includes, without limitation, damages for loss of profits, goodwill, data, business interruption, missed appointments, lost commercial opportunities, or other intangible losses resulting from:

  • The behavior, statements, or errors made by the AI agent during live calls.
  • The failure of the platform to route, filter, or pass a critical call to the Customer.
  • Unauthorized access to or alteration of your transmissions or data.
  • Any downtime, outages, maintenance cycles, or telecommunication carrier dropouts.

In no event shall Squilling's cumulative liability for all claims relating to the service exceed the total amount paid by the Customer to Squilling in the three (3) months immediately preceding the event giving rise to liability.

Nothing in these terms limits liability that cannot be limited by law.

Data processing agreement (Global DPA)

This section constitutes your Data Processing Agreement (DPA) under Article 28 of the GDPR, UK GDPR, Swiss FADP, and equivalent global privacy frameworks. By accepting these terms, you appoint Squilling as a Data Processor for the personal data of your end-callers.

  • Roles. You are the Data Controller; Squilling is the Data Processor. Squilling acts as a Data Controller only for your internal account setup and registration details, as detailed in our Privacy Notice.
  • Scope and purpose. We process call audio, real-time transcripts, AI summaries, metadata, and caller phone numbers exclusively to deliver, maintain, and support the phone agent service.
  • Documented instructions. We process data only on your documented instructions (including your dashboard configurations and agent settings). We will never sell this data, nor do we use customer conversation data or call logs to train underlying public AI models.
  • Subprocessors. You grant a general authorization for us to engage the subprocessors listed in our Privacy Notice. We bind all subprocessors to data protection obligations at least as restrictive as those contained herein. For cross-border data transfers outside the EEA, UK, or Switzerland, we utilize approved transfer mechanisms such as Standard Contractual Clauses (SCCs).
  • Security and confidentiality. We implement rigorous technical and organizational safeguards, including encrypted transport protocols, strict database isolation per account, and access logging. All personnel authorized to handle data are bound by strict confidentiality agreements.
  • Data retention and deletion. Call audio and full transcripts are automatically purged from our operational storage after 90 days. Basic structural call logs are retained while your account remains active. Upon termination of the contract, all operational data processed on your behalf will be deleted or anonymized within standard system deletion cycles, except where structural legal obligations dictate retention.
  • Customer export perimeter. If you extract, pull, copy, or export call transcripts, logs, or audio into external databases, CRMs, or local storage, you assume exclusive controller responsibility for that data. Its protection, compliance, and deletion are entirely outside our operational perimeter.

Suspension and termination

We reserve the right to immediately suspend, throttle, or terminate your account, API access, and telephone line routing without prior notice if you breach these terms, fail to maintain a positive prepaid balance, or if we detect traffic profiles indicating fraud, spam, or systemic abuse. You may terminate your account and cease using the service at any time directly through the customer dashboard.

Governing law and dispute resolution

  • Global users. These terms are governed by and construed in accordance with Italian law. Any legal action, suit, or proceeding arising out of these terms shall be brought exclusively before the competent courts of Milan, Italy.
  • U.S. specific arbitration provision. If you reside in or operate your business within the United States, you agree that any dispute or claim arising out of this agreement shall be settled by binding, individual arbitration administered by the American Arbitration Association (AAA), rather than in court. You explicitly waive your right to participate in class actions or class-wide arbitration.

Amendments and revisions

Squilling reserves the right to modify or replace these terms at any time. Material changes affecting billing structures, liability limits, or data processing will be notified inside the customer dashboard or via your registered account email at least 14 days prior to taking effect. Continued use of the platform after updates take effect constitutes full acceptance of the revised terms.
